Terms of Service

These Terms of Service ("Terms") govern your use of the LangMemo mobile application and website (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) and capable of forming a binding contract to use the Service.

2. Your Account

Keep your credentials secure and your account information accurate. You are responsible for activity under your account. Notify us promptly at support@langmemo.app if you believe your account has been compromised.

3. License to Use the Service

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial language learning. You may not reverse engineer, resell, scrape, or interfere with the Service, except where such restrictions are prohibited by law.

4. User Content

4.1 Definition

"User Content" is anything you upload or create in the Service — cards, notes, photos, audio recordings, and imported study materials.

4.2 Ownership

You keep ownership of your User Content.

4.3 License to LangMemo

You grant us a worldwide, royalty-free license to host, store, process, and display your User Content solely to operate and improve the Service (for example, generating translations or audio for your cards). This license ends when you delete the content or your account, except as needed to comply with law.

4.4 Your representations

You represent that you own or have the right to upload your User Content and that it does not infringe anyone else's rights. Imported materials (e.g. shared decks, dictionaries) must be ones you are licensed to use.

4.5 Removal

We may remove content that violates these Terms or applicable law, but have no obligation to monitor User Content.

5. Acceptable Use

You agree not to: use the Service for unlawful purposes; upload content that is infringing, malicious, or unlawful; attempt to access other users' data; probe or disrupt our infrastructure; or use automated systems to bulk-extract data from the Service.

6. Third-Party Services and Content

The Service relies on third-party providers (such as app stores, hosting, and AI processing services). Their services are subject to their own terms. Translations and generated audio are provided for learning purposes and may contain errors.

7. Intellectual Property & DMCA

The Service, excluding User Content, is owned by LangMemo and protected by intellectual-property laws. To report copyright infringement, email dmca@langmemo.app with the material identified, its location, your contact details, and a good-faith statement. We respond to valid notices and may terminate repeat infringers.

8. Termination

You may stop using the Service or delete your account at any time (Settings → Delete Account). We may suspend or terminate accounts that violate these Terms. Sections 4.4 and 9–13 survive termination.

9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that translations or generated audio will be accurate.

10. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim relating to the Service is capped at the greater of (a) the amount you paid us in the twelve months before the claim or (b) USD $100.

11. Indemnification

You will defend and indemnify LangMemo against claims arising from your User Content, your violation of these Terms, or your violation of any third-party right.

12. Dispute Resolution — Arbitration & Class-Action Waiver

Please read this section carefully. It affects your legal rights.

12.1 Informal resolution

Before filing a claim, contact legal@langmemo.app; we will try to resolve the dispute in good faith within sixty (60) days.

12.2 Binding arbitration

Disputes that cannot be resolved informally will be resolved through final and binding individual arbitration administered by a recognized arbitration provider under its then-current rules, except qualifying claims in small-claims court.

12.3 Class-action waiver

You and LangMemo agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

12.4 Opt-out

You may opt out of this arbitration agreement by written notice to legal@langmemo.app within thirty (30) days of first accepting these Terms.

12.5 Exceptions

Either party may seek injunctive relief in court to protect intellectual-property rights.

13. Governing Law & Venue

These Terms are governed by the laws of the jurisdiction in which LangMemo operates, without regard to conflict-of-law rules, and subject to any mandatory consumer-protection rights in your country of residence.

14. Miscellaneous

These Terms are the entire agreement between you and LangMemo regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger or sale. We may update these Terms and will post the revised version with an updated date; material changes will be notified in the app.
